1. Overview and Acceptance
These Terms of Service ("Terms") govern your use of ebcamerica.com (the "Site") and every purchase you make on it. The Site is operated by European Beauty Concepts, Ltd. ("EBC," "we," or "us"), 927 Old Nepperhan Avenue, Yonkers, New York 10703.
By browsing the Site or placing an order, you agree to these Terms and to our Privacy Policy, Shipping Policy, and Return & Refund Policy, which are part of this agreement. If you do not agree, please do not use the Site.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live, to place an order. Products designated professional-only (see Section 9) are intended for licensed beauty professionals.
3. Accounts
Retail customers may check out as a guest or create an account. Professional customers register through the Professional Registration page to view professional pricing and products. We may ask for proof of licensure or business documentation. We manually verify each professional's cosmetology license with the issuing state, checking its expiration date and whether its status is active or revoked. We may approve, decline, or revoke professional access at our discretion.
You are responsible for giving accurate information, keeping your login credentials secure, and all activity under your account. Tell us promptly if you suspect unauthorized use.
4. Orders and Acceptance
Placing an order is an offer to buy. We accept it when we ship your products; an order confirmation email is not acceptance. We may refuse or cancel any order, or limit quantities, for reasons such as product unavailability, errors in pricing or product information, suspected fraud, or a professional-only product ordered from an account that is not approved. If we cancel an order after you have paid, we will refund you in full.
5. Pricing and Payment
Prices are in US dollars and may change without notice. Shipping and applicable sales tax are calculated at checkout. Professional pricing is shown only to approved professional accounts.
We accept the payment methods shown at checkout. By placing an order, you authorize us and our payment providers to charge your chosen method for the total, and you confirm you are entitled to use it. If a product is listed at an incorrect price, we may cancel the order and refund you.
6. Shipping and Delivery
Carriers, rates, processing times, free-shipping thresholds, and exclusions (including back bar products) are set out in our Shipping Policy. Delivery dates are estimates, not guarantees. Risk of loss passes to you when the carrier delivers the order to the address you provided. If a package is late, damaged, or missing, contact us at the address in Section 21.
We ship to most countries outside the United States. International customers are responsible for customs, duties, and import taxes. Some products, such as oxidants, cannot be shipped to certain countries by courier.
7. Returns, Refunds and Warranty
Returns, refunds, exchanges, and warranty claims are governed by our Return & Refund Policy. If anything in these Terms conflicts with that policy on those subjects, the Return & Refund Policy controls.
8. Product Information
We work to describe and photograph our products accurately, but colors on your screen, packaging, and sizes may differ slightly from what you receive. Ingredient lists appear on each product page. Our products are hair and beauty products; we make no medical claims about them.
9. Safety and Professional-Use Products
Read and follow the label and usage instructions on every product. Before using hair color, lighteners, or other chemical products, perform a patch or allergy test as the label directs. Keep products out of reach of children, avoid contact with eyes, and stop use and seek medical advice if irritation occurs.
Certain products, including hair color, developers and peroxides, lighteners and bleaches, relaxers, perm and straightening products, and back bar sizes, are formulated for trained professionals. If you buy them, you are responsible for using them in line with their labels and applicable law.
We may restrict professional-use products to approved professional accounts and may limit quantities.
10. Brands and Intellectual Property
EBC is the brand owner and distributor of Ever Ego Italy and Linange Italy, and an authorized importer and distributor of Inebrya, Fanola, and RR Line hair products. The Site's text, images, logos, and trademarks belong to EBC or their respective owners. You may not copy, reproduce, scrape, or use them without our written permission, except to view the Site and place orders.
11. Authorized Purchases
Products sold on this Site come through our authorized distribution channels. Orders placed through unauthorized third-party resellers or marketplaces are not covered by our Return & Refund Policy or warranty.
12. Gift Cards
Gift cards purchased on the Site can be redeemed toward purchases on the Site. They are not redeemable for cash except where the law requires, and we cannot replace a lost or stolen gift card.
13. Promotions and Discounts
Promotional codes and discounts may not be combined unless stated, have no cash value, may expire, and may exclude certain products such as gift cards and back bar items. Items sold as "Last Chance" or clearance are final sale, as described in the Return & Refund Policy.
14. Email and Text Messages
When you subscribe, you agree to receive marketing emails and text messages from us. Our opt-in message reads: "Welcome to European Beauty Concepts! Thanks for subscribing."

- Message frequency varies, and message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

15. Acceptable Use
You agree not to:
- use the Site for any unlawful purpose
- place fraudulent orders or use payment methods you are not entitled to use
- misrepresent your professional status to obtain professional pricing or products
- interfere with the Site's security or operation
- use automated tools to scrape or collect data from the Site
- use the Site to infringe anyone's rights
16. Disclaimers
To the extent the law allows, the Site and products are provided "as is" and "as available." We do not promise that the Site will be uninterrupted or error-free. This section does not exclude any warranty that the law does not allow us to exclude, or the express warranties in our Return & Refund Policy.
17. Limitation of Liability
To the fullest extent the law allows, EBC and its officers, employees, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from your use of the Site or products. Our total liability for any claim is limited to the amount you paid for the product that gave rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.
18. Indemnification
You agree to defend and hold harmless EBC and its officers, employees, and affiliates from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or your violation of any law or of another person's rights.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. You and EBC agree that the state and federal courts located in Westchester County, New York, have exclusive jurisdiction over any dispute arising from these Terms or your use of the Site.
20. Changes and General Terms
We may update these Terms by posting the revised version on the Site with a new date. Your continued use of the Site after that means you accept the changes. Orders are governed by the Terms in effect when you placed them.
If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with the policies they reference, are the entire agreement between you and EBC about the Site and your purchases.

Part B: Salon Online Sales Policy
This Part B applies only to salons and distributors that hold a current European Beauty Concepts Professional Products Distributor Agreement and resell our products online. It does not apply to purchases made on this Site.
1. Salon online sales are permitted only by salons with a physical salon location in the United States that offers salon services and provided the e-commerce website is branded under the same name as the salon. The website must include the street address of the salon, salon ownership, salon services offered and salon phone number.
2. Sales directly or indirectly through unauthorized third-party websites and marketplaces are prohibited. Salons must fulfill their own orders and may not fulfill orders for any other salons, nor link to other websites selling European Beauty Concepts Products. European Beauty Concepts Products may not be shipped to unknown accounts, guest accounts, or P.O. Boxes. Salons shall include the salon’s name and the address the order was shipped from on the return address label of all orders processed online.
3. Salons shall sell only products intended and labeled for retail sale to consumers for their personal use. Salons shall not sell any European Beauty Concepts Products that are designed for professional in-salon use only, such as hair color products, texture products, professional treatment products, and back bar sizes.
4. Sales may be made only to individual customers in the United States, for delivery in the United States and in quantities reasonable for personal use and not resale, not to exceed 6 units per month/per customer. Sales to customers outside the United States are prohibited and will result in termination of a salon’s Distribution Agreement.
5. Salons may sell only European Beauty Concepts Products that are genuine, unopened, in first-quality condition and shall not remove, obliterate or tamper with any codes applied to the products by European Beauty Concepts, the manufacturer or distributor. Salons shall only sell European Beauty Concepts Products acquired from an authorized distribution source in the United States. Salons shall not alter the physical components or design of promotional kits and prepacks.
6. Salons shall maintain records demonstrating their inventory and sales of all European Beauty Concepts Products for three (3) years and make such records available to European Beauty Concepts immediately upon written request. At a minimum, transaction records must include customer name, ship-to address, invoice number, invoice date, product control number, product description, product quantity and extended cost. Additional information may be required by European Beauty Concepts, including actual invoice copies.
7. Salons must use European Beauty Concepts Products product images provided by European Beauty Concepts for all product listings and comply with any usage restrictions communicated by European Beauty Concepts.
8. Salons will be responsible for all customer service inquiries from customers who have purchased European Beauty Concepts Products through the salon’s website.
9. Salon website URLs shall not include any European Beauty Concepts trademarks or otherwise violate any European Beauty Concepts trademark rights. For example, salons cannot buy, run or operate “shopeveregoitaly.com”.
10. IP/Trademark use and restrictions: Salon acknowledges that it does not have any proprietary rights to the brands, trademarks or other European Beauty Concepts Products intellectual property rights of European Beauty Concepts (collectively, “European Beauty Concepts Intellectual Property”) and that it is only authorized to use the European Beauty Concepts Intellectual Property for the purpose of reselling the European Beauty Concepts Products and operating the website in accordance with this online sales policy. Salon will only use the European Beauty Concepts Intellectual Property in the manner in which it is made available to salon by European Beauty Concepts on the European Beauty Concepts website. Salon shall not alter any images of the European Beauty Concepts Intellectual Property except as may be directed by European Beauty Concepts in writing. If salon uses its own images of European Beauty Concepts Intellectual Property, European Beauty Concepts has the right to request changes, modifications, discontinuation or replacement with approved images at European Beauty Concepts discretion. Salon shall retain no rights, title, or interest in the European Beauty Concepts Intellectual Property and will return any image or sample provided, or destroy such materials at European Beauty Concepts request. European Beauty Concepts Intellectual Property may only be used in a manner that shall maintain and enhance the goodwill associated with the European Beauty Concepts Intellectual Property. European Beauty Concepts Intellectual Property shall not be used in a manner that disparages, degrades, diminishes or detracts from the goodwill of the business associated with the European Beauty Concepts Intellectual Property, nor shall salon use the European Beauty Concepts Intellectual Property in a manner that is scandalous, immoral or satirical. Salon agrees to promptly change the manner of such use if requested to do so by European Beauty Concepts. Any and all rights or purported rights in the European Beauty Concepts Intellectual Property, including without limitation all rights of trademark and trade dress, and associated goodwill that may arise or accrue belong solely to European Beauty Concepts. Salon will not contest or dispute, directly or indirectly, European Beauty Concepts proprietary interest in or ownership of the European Beauty Concepts Intellectual Property. Use by the salon of the European Beauty Concepts Intellectual Property under this online sales policy shall immediately cease upon the expiration or termination of salon’s Distribution Agreement.
11. Search Engine Marketing: Salon will not interfere with or competitively outbid European Beauty Concepts brands holding the number one ranking in search engine results pages. This includes, but is not limited to, Google, Yahoo, Bing and other search platforms.
12. Salons operating their own e-commerce websites are responsible for data privacy and security associated with their website to protect the customer and consumer information, including payment card data, and to prevent product diversion. Salon e-commerce websites must be compliant with PCI standards if credit card processing is enabled.
13. Compliance with Laws: Salon e-commerce sales must comply with all applicable laws and regulations relating to internet marketing and sales transactions.
14. Salons operating their own e-commerce sites shall notify European Beauty Concepts.
